Terms of Service

By accessing or using Boutikane (the "Platform") or any related services provided by Yosuble AI LLC ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms").

If you are accessing the Platform on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not have such authority, or if you do not agree with these Terms, you must not access or use the Platform.

These Terms constitute a legally binding agreement between you ("User" or "Customer") and Yosuble AI LLC.

Boutikane is a cloud-based software-as-a-service (SaaS) platform designed for merchants and small-to-medium businesses. The Platform provides tools including, but not limited to:

• Sales and transaction management
• Product inventory and stock tracking
• Client and customer relationship management
• Debt and receivables tracking
• Sales team and vendor management
• Business analytics and reporting dashboards
• Calendar and scheduling tools

We reserve the right to modify, update, suspend, or discontinue any feature of the Platform at any time. We will provide reasonable advance notice of material changes where practicable.

To access the Platform, you must create an account using a unique shop identifier (slug) and access credentials. You agree to:

• Provide accurate, complete, and up-to-date account information
• Maintain the confidentiality of your credentials and access codes
• Immediately notify us of any unauthorized use of your account
• Take responsibility for all activity that occurs under your account
• Not share account credentials with unauthorized third parties

Yosuble AI LLC uses a custom authentication system. User credentials are stored in encrypted form and are never accessible in plain text by Yosuble AI LLC staff.

We reserve the right to suspend or terminate accounts found to be in violation of these Terms, used fraudulently, or inactive for an extended period.

Access to Boutikane may require a paid subscription. By subscribing, you agree to the following:

You agree to use the Platform only for lawful business purposes and in accordance with these Terms. The following activities are strictly prohibited:

• Using the Platform for any illegal, fraudulent, or unauthorized purpose
• Attempting to gain unauthorized access to any part of the Platform or its infrastructure
• Reverse engineering, decompiling, or disassembling any component of the Platform
• Transmitting malware, viruses, or any code designed to disrupt or damage the Platform
• Scraping, crawling, or automated extraction of data from the Platform without prior written consent
• Reselling, sublicensing, or distributing access to the Platform to third parties without authorization
• Impersonating another user, company, or Yosuble AI LLC staff
• Using the Platform to store, transmit, or distribute content that is unlawful, harmful, defamatory, or infringing
• Interfering with or disrupting the integrity or performance of the Platform or its underlying systems
• Circumventing any security, access control, or rate limiting mechanisms

Violation of this policy may result in immediate suspension or termination of your account without notice, at our sole discretion.

All rights, title, and interest in and to the Platform — including its software, source code, user interface, design, branding, trademarks, logos, content, and documentation — are and remain the exclusive property of Yosuble AI LLC.

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your internal business purposes during your subscription term.

This license does not include the right to: sublicense, sell, copy, modify, create derivative works of, publicly display, reverse engineer, or otherwise exploit any part of the Platform.

Any feedback, suggestions, or improvements you provide regarding the Platform may be used by Yosuble AI LLC without any obligation of compensation or attribution to you.

You retain full ownership of all data, content, and information that you or your team input into the Platform ("Customer Data"), including sales records, client information, product data, and business analytics.

By using the Platform, you grant Yosuble AI LLC a limited, non-exclusive license to store, process, and display your Customer Data solely for the purpose of providing the Services to you.

We commit to the following with respect to Customer Data:

• We will not sell, rent, or share your Customer Data with third parties except as required to operate the Platform
• We will implement appropriate security measures to protect your data
• We will provide data export tools so you can retrieve your data at any time
• Upon termination of your account, Customer Data will be retained for 30 days before deletion, during which you may request an export
• We may use anonymized, aggregated data for service improvement and analytics

Either party may terminate these Terms at any time. The consequences are as follows:

The Platform and all related services are provided on an "as is" and "as available" basis, without warranty of any kind, express or implied.

To the fullest extent permitted by applicable law, Yosuble AI LLC expressly disclaims all warranties, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that the Platform will be uninterrupted, error-free, or secure at all times
• Warranties regarding the accuracy, completeness, or reliability of any content or data
• Warranties that defects will be corrected within a specified timeframe

Some jurisdictions do not allow the exclusion of implied warranties. In such cases, the above disclaimers apply to the maximum extent permitted by law.

To the fullest extent permitted by applicable law, Yosuble AI LLC and its directors, employees, agents, and licensors shall not be liable for any:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, goodwill, or business opportunities
• Damages arising from unauthorized access to or alteration of your data
• Damages resulting from third-party conduct or content on the Platform
• Interruptions, errors, or failures in service availability

In any event, Yosuble AI LLC's total cumulative liability to you for all claims arising out of or relating to these Terms or the Platform shall not exceed the total fees paid by you in the twelve (12) months preceding the event giving rise to the claim.

These limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise), even if Yosuble AI LLC has been advised of the possibility of such damages.

We reserve the right to modify these Terms at any time. When we make changes, we will:

• Update the "Last updated" date at the top of this page
• Notify active users by email or in-app notification for material changes
• Provide at least 14 days notice before changes take effect, where practicable

Your continued use of the Platform after the effective date of the updated Terms constitutes your acceptance of the new Terms. If you do not agree, you must discontinue use of the Platform.

These Terms are governed by and construed in accordance with the laws of the State of New Mexico, United States, without regard to its conflict of law provisions.

Any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Platform shall first be subject to good-faith negotiation. If unresolved, disputes shall be submitted to the exclusive jurisdiction of the courts located in New Mexico, United States.

If you are a consumer resident in the European Union, you may also have the right to bring legal proceedings before the courts of your country of residence. The EU Online Dispute Resolution platform is available at ec.europa.eu/consumers/odr.
